女士们、先生们:

大家上午好。很高兴向各位介绍商事制度改革的有关情况。

按照党中央、国务院的决策部署,201431,商事制度改革在全国范围内全面实施。目前,注册资本实缴改认缴、取消注册资本最低限额、放宽住所登记条件等改革措施已经实行近一年,《企业信息公示暂行条例》于2014101实施,企业年报公示和即时信息公示有序开展,企业信用信息公示系统初步建成,全程电子化登记管理和电子营业执照正在试点探索,国务院出台了关于扶持小型微型企业健康发展的意见。总体上看,改革实现了重大突破,有力激发了社会投资热情,促进了市场主体数量大幅增长,社会反响积极。

商事制度改革以来,工商部门以《企业信息公示暂行条例》的颁布实施为契机,不断探索构建以企业信用信息公示系统为依托,以信息公示为基础、以信用监管为核心、以随机抽查和重点检查为主要手段的新型市场监管模式。按照“宽进严管”的要求,转变监管理念,改变原来的监管手段和方式,通过企业自主公示信息强化企业自我约束的主体责任,引导社会包括企业交易相对人、中介组织等充分利用企业公示信息,来评判企业信用状况,进而形成社会共治的局面。工商部门认真按照《企业信息公示暂行条例》的规定,对企业公示信息的行为进行监督检查,督促其真实、及时地公示其从事生产经营活动过程中形成的信息;做好自身在履职过程中产生的企业信息的公示工作;同时推进与其他部门之间的企业信用信息共享和失信联合惩戒工作。

下一步,我们将继续深化商事制度改革,开展企业名称登记改革试点和简易注销登记试点,全面推进“三证合一”登记制度改革,依托信息公示推动建立综合执法新机制,抓紧建设小微企业名录,进一步服务促进市场主体发展。

Address at a Regular News Briefing on State Council Policies

Ladies and gentlemen,

Good morning. It’s a great pleasure for me to brief you on the reform of the business system.

In accordance with CPC central committee and State Council’s decision and deployment, the reform of the business system has been carried out nationwide starting from March 1, 2014. It has been nearly one year since a number of reform measures were put into practice, including changing paid-in registered capital to commitment-to-pay registered capital, cancelling minimum registered capital requirement, and loosening company address registration requirements. Interim Regulation on Enterprise Information Publicity went into effect on October 1, 2014. The enterprise annual report and publicity of instant enterprise information are implemented well. The Enterprise Credit Information Publicity System has been initially built. The whole-process electronic industrial and commercial registrations and electronic business licenses reform are carried out in pilot projects, State Council has promulgated Opinions on supporting small and micro enterprises development. Generally speaking, the reform has achieved important breaking results, which stimulates social investment enthusiasm, increases sharp increase of market entities number and is well received by the public.

Since business system reform, AICs takes the promulgation of Interim Regulation on Enterprise Information Publicity as a good opportunity, to actively construct a new market supervision model with online enterprise credit information publicity system as infrastructure, information publicity as regulation basis, credit regulation as core idea, and random inspection as well as focused inspection as main measures. In accordance with the requirement of ‘easy access but stringent regulation’ requirements, we are changing our regulation idea and also our regulation method from traditional one. We strengthen the enterprises’ self-restriction responsibility through initiatively publicizing their own information. And we guide the general public including the market players, intermediary organizations to fully utilize publicized enterprise information to assess enterprises’ credit status accordingly, so that the multi-stakeholder regulation approach will be formed. AICs conscientiously follow the regulation of ‘Interim Regulation on Enterprise Information Publicity’, and conduct inspection on those information publicized by enterprises themselves, urging them to provide truthful business information in a timely manner. And meanwhile, we also promote collaboration with other ministries in information-sharing and joint penalty against those discredited operators.

In the next step, we will deepen the reforms of the business system and carry out pilot reforms for enterprise name registration and easy enterprise cancelations, implement the registration reform of three licenses merging into one, and make use of information publicity to build comprehensive new enforcement mechanism. We are also working hard to establish small and micro enterprises list and better serve market players.
